State of New York Contract # PC70248 issued to Nightingale Corp.

General

1. This is to summarize the details of the above contract for the State of New York Contract.
2. As of March 4th 2024, items offered are found in the Nightingale USA Price Book Dated October 2022.
3. This contract is valid until December 1st, 2028.

Government Buyers

1. All State purchase orders should be issued to Nightingale care of the local Nightingale authorized dealer.
2. Nightingale will ship the order direct to the ordering agency (providing they have a shipping dock) or direct to the local dealer who deliver and install the order.
3. Nightingale will invoice the state agency directly. Nightingale will accept state purchasing cards for payment
4. Only product listed in the Nightingale USA Price Book Dated October 2022 applies to this contract
5. Inside Delivery Fee (invoiced as a separate line item):
          (a). Inside delivery fee for the metropolitan NYC will be 7% (taken from net price).
          (b). For all other areas, inside delivery fee will be 7% (taken from net price).
6. Freight terms:
          (a). Minimum order value is $250.00 for FOB Destination, dock to dock delivery.
7. The discount to the State will be List Price by Product Line By Category, as listed below:
          (a). 65%: Task, Conference, Executive Management, Lounge, Specialty Seating, Lounge and Guest Seating
          (b). Nightingale will offer a 5% discount from List Price for orders in excess of $ 100,000.00
